First off, there are many investment instruments that are not formally registered with the SEC, which in one respect, suggests that they are freely tradeable on the public exchanges.  An example of a unregistered security is private equity and venture capital investments.  While not &quot;tradeable&quot; on the exchanges, there are billions of dollars invested annually , with investors giving up certain liquidity for a better than public market return.  Ultimately, it is hoped that such securities become registered and free trading can be initiated.  As an anecdote, the &quot;liquidity&quot; element of private equity is under review currently as many of the top Silicon Valley companies, such as Facebook and Twitter, have relatively active trading markets for their shares, even though they have not filed a Registration Statement with the SEC.</p><p>In the case of PRIMARQ, we have structured the investment to be analogous and complementary to a homebuyer&#39;s contribution of down payment funds to purchase a home.  A down payment, i.e., equity investment in a real property asset, is not construed as a &quot;security&quot;.   Our structure has been designed uniquely to have the investor be treated as a direct yet partial owner of the real property asset, while providing some legal separation from the underlying mortgage liability.</p><p>Lastly, included in our structure, is the provision that the PRIMARQ &quot;PREIT&quot; investments can be resold into our market, thereby achieving liquidity without the underlying property being resold or refinanced.</p><p>Let me know if you have further queries.
